These Terms of Service and User Agreement ("Terms") govern access to and use of the websites, software, dashboards, analytical tools, artificial intelligence features, market intelligence, educational materials, subscriptions, and related services made available by Pulse Target AI, Inc., a Florida corporation ("Pulse Target AI," "Company," "we," "us," or "our").
By creating an account, checking the box indicating acceptance of these Terms, purchasing or maintaining a subscription, or otherwise accessing or using the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and the policies incorporated into them.
You agree that these Terms may be entered into electronically. Your affirmative selection of an acceptance checkbox, submission of an account registration, or other electronic indication of acceptance constitutes your agreement to these Terms to the extent permitted by applicable law.
Pulse Target AI may maintain electronic records concerning your acceptance, including your account identifier, date and time of acceptance, applicable document version, cryptographic document hashes, IP address, browser or device information, and other information reasonably necessary to establish the integrity and authenticity of the acceptance record.
You consent to receive agreements, disclosures, notices, billing information, and other communications electronically, including through the Platform, email, or other electronic methods associated with your account.
You must be at least eighteen (18) years old and legally capable of entering into a binding contract to use the Services.
By creating an account, you represent that the information you provide is accurate, current, and complete and that your use of the Services is lawful in the jurisdiction in which you reside or access the Services.
You may not use the Services if applicable law prohibits you from receiving or using them.
Pulse Target AI provides software-based market intelligence and analytical tools that may process market prices, technical indicators, market trends, news-related information, price reactions, statistical information, artificial intelligence outputs, probabilities, expected market movements, and other analytical inputs.
Features may include, without limitation, market dashboards, market direction indicators, news analysis, reaction measurements, technical analysis, trend measurements, expected-move calculations, alerts, signal classification systems, educational materials, historical statistics, and other proprietary analytics.
The Services may change over time. Pulse Target AI may add, modify, replace, suspend, or discontinue features when reasonably necessary for product, technical, regulatory, licensing, security, or business reasons.
Unless a separate product description or written agreement expressly states otherwise, the Services do not execute securities transactions on your behalf, take custody of your money or securities, maintain a brokerage account for you, or exercise discretionary control over your investment account.
Pulse Target AI does not receive your trading capital through the Services. Any securities transaction you choose to make is carried out through the brokerage, exchange, trading platform, or financial institution selected by you.
You remain solely responsible for reviewing and approving every transaction you make.
The Services are designed to provide generalized and impersonal analytical, informational, and educational outputs based on market-related information and software calculations.
Pulse Target AI does not obtain a complete understanding of your personal financial condition, investment objectives, tax circumstances, risk tolerance, investment horizon, portfolio composition, or other information that would be required to determine whether a particular investment is suitable for you.
Nothing displayed through the Services should be interpreted as a guarantee that any security should be bought, sold, or held, or that any trading strategy is suitable for a particular person.
The provision of the Services does not, by itself, create a fiduciary relationship between you and Pulse Target AI.
Nothing in these Terms is intended to make a legal determination regarding whether any particular activity or service is subject to registration, licensing, exemption, or other requirements under federal or state securities laws. Such status is determined by applicable law and the actual activities conducted by the Company.
You are solely responsible for deciding whether, when, and how to buy, sell, hold, or otherwise transact in any security or financial instrument.
You should independently evaluate any information supplied through the Services and, when appropriate, consult qualified financial, investment, legal, accounting, or tax professionals.
You acknowledge that market conditions can change rapidly and that an analytical result may become outdated before you view or act upon it.
Pulse Target AI does not guarantee profits, investment performance, accuracy of predictions, successful trading outcomes, achievement of an expected move, achievement of a target probability, or any particular financial result.
No historical statistic, signal success rate, backtest, simulated result, probability, expected move, BLUE signal, artificial intelligence score, technical indicator, market trend, news score, reaction measurement, or other analytical output guarantees future performance.
Past performance is not necessarily indicative of future results.
Certain Services use automated systems, statistical models, algorithms, machine learning, artificial intelligence, rules-based systems, or combinations of these technologies.
Such systems may generate incorrect, incomplete, delayed, inconsistent, or unexpected results. Models may also behave differently when market conditions differ from historical conditions.
AI-generated or algorithmically generated information should not be treated as infallible or as a substitute for independent judgment.
The Services may rely on information obtained from exchanges, market-data providers, news providers, financial-data providers, public sources, technology vendors, and other third parties.
Third-party information may be delayed, incomplete, inaccurate, corrected, revised, unavailable, or subject to licensing restrictions.
Pulse Target AI does not guarantee the accuracy, completeness, continuity, timeliness, or availability of third-party information.
Your subscription does not transfer to you any ownership or redistribution rights in third-party market data, news content, or other licensed material.
You may not extract, redistribute, republish, resell, or commercially exploit third-party data obtained through the Services except where expressly permitted by the applicable rights holder and applicable law.
Market behavior, liquidity, spreads, volatility, available data, and order execution characteristics may differ substantially during pre-market, after-hours, overnight, or other extended trading sessions.
Information available during extended-hours sessions may be more limited than information available during regular market hours.
You are responsible for understanding the risks and rules associated with any trading session in which you choose to participate.
You are responsible for maintaining the confidentiality of your account credentials and for activity occurring through your account.
You must promptly notify Pulse Target AI if you reasonably believe that your account credentials have been lost, stolen, disclosed, compromised, or used without authorization.
You may not share, sell, transfer, sublicense, rent, or commercially provide your account credentials or subscription access to another person unless expressly authorized by Pulse Target AI.
You may not use the Services to:
The Services, including software, source code, object code, interfaces, designs, branding, trademarks, logos, documentation, educational materials, databases, selection and arrangement of information, analytical methods, signal systems, proprietary scoring systems, algorithms, models, and other Company-created content are owned by or licensed to Pulse Target AI and are protected by applicable intellectual-property laws.
Subject to your compliance with these Terms and payment of applicable fees, Pulse Target AI grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to access and use the Services for your own lawful personal or internal business use during the applicable subscription period.
No ownership rights are transferred to you.
Certain calculations, algorithms, weighting methods, models, thresholds, signal-generation logic, source code, system architecture, and internal processes used by Pulse Target AI are proprietary and may constitute trade secrets or confidential business information.
The fact that a user can observe an output, score, signal, chart, alert, or other result does not grant the user any right to obtain, derive, reverse-engineer, disclose, or reproduce the underlying proprietary method.
Books, handbooks, courses, videos, presentations, examples, demonstrations, and other educational materials supplied by Pulse Target AI are provided for educational and informational purposes.
Examples and hypothetical scenarios are not guarantees of actual trading results.
Unless expressly stated otherwise, educational materials are licensed to the purchaser or authorized user for personal use and may not be copied, redistributed, sold, uploaded, published, or shared with unauthorized persons.
Paid access may require a recurring subscription.
The price, billing frequency, renewal terms, and material conditions of the subscription will be disclosed before you authorize payment.
By purchasing a recurring subscription, you authorize the applicable payment processor to charge the payment method associated with your subscription at the disclosed recurring interval until the subscription is properly canceled.
Additional billing, renewal, cancellation, and refund terms are contained in the Pulse Target AI Subscription & Cancellation Policy, which is incorporated into these Terms by reference.
Payments may be processed by third-party payment service providers.
Pulse Target AI does not intend to store complete payment-card numbers or card security codes directly on its application servers when those details are handled by the payment processor.
Your use of a third-party payment service may also be subject to that provider's applicable terms and privacy practices.
Information relating to the collection, use, storage, disclosure, and protection of personal information is described in the Pulse Target AI Privacy Policy, which is incorporated into these Terms by reference.
Financial markets, internet services, cloud infrastructure, third-party APIs, data feeds, news services, payment systems, telecommunications networks, software, and hardware may experience interruptions or failures.
Pulse Target AI does not guarantee continuous, uninterrupted, error-free, or latency-free operation.
The Company may conduct maintenance, upgrades, emergency repairs, security work, or infrastructure changes that temporarily affect availability.
Pulse Target AI may modify features, user interfaces, analytical methods, data providers, technical architecture, supported symbols, service limits, or other aspects of the Services.
Where a change materially affects a paid user's subscription or legal rights, Pulse Target AI will provide notice when required by applicable law or these Terms.
Pulse Target AI may suspend, restrict, or terminate access when reasonably necessary to address nonpayment, fraud, account sharing, security threats, abusive conduct, unlawful activity, material breach of these Terms, misuse of proprietary information, or risks to the Services or other users.
Where reasonably practicable, the Company may provide notice and an opportunity to cure a remediable violation.
Termination or cancellation does not eliminate obligations that by their nature should survive, including intellectual-property restrictions, payment obligations already incurred, disclaimers, liability limitations, and dispute provisions.
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE."
Pulse Target AI disclaims warranties, representations, and conditions that are not expressly stated in these Terms, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement, to the extent such disclaimers are legally permitted.
Pulse Target AI does not warrant that the Services will be uninterrupted, error-free, accurate, complete, secure, or suitable for any particular trading or investment purpose.
Nothing in this section excludes any warranty or right that applicable law does not permit the parties to exclude.
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, PULSE TARGET AI AND ITS DIRECTORS, OFFICERS, EMPLOYEES, CONTRACTORS, AND AGENTS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST TRADING OPPORTUNITIES, LOST DATA, LOSS OF GOODWILL, OR TRADING OR INVESTMENT LOSSES ARISING FROM OR RELATING TO THE SERVICES.
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE AGGREGATE LIABILITY OF PULSE TARGET AI ARISING FROM OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) ONE HUNDRED U.S. DOLLARS (US $100) OR (B) THE AMOUNT YOU PAID DIRECTLY TO PULSE TARGET AI FOR THE APPLICABLE SERVICE DURING THE SIX (6) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
These limitations do not apply to liability that cannot lawfully be excluded or limited.
Without limiting the other provisions of these Terms, you acknowledge that you may lose some or all capital committed to trading or investing and that Pulse Target AI is not responsible for trading losses resulting from your decision to enter, exit, size, manage, or maintain a position.
A separate Trading Risk Disclosure forms part of the agreements applicable to the Services.
To the extent permitted by applicable law, you agree to defend, indemnify, and hold harmless Pulse Target AI and its directors, officers, employees, contractors, and agents from third-party claims, damages, liabilities, costs, and reasonable expenses arising from your unlawful or unauthorized use of the Services, intentional infringement of another person's rights, or material violation of these Terms.
This provision does not require you to indemnify Pulse Target AI for matters for which indemnification may not lawfully be required.
The Services may interact with or link to third-party websites, applications, brokers, data providers, news providers, payment processors, or other services.
Pulse Target AI does not control and is not responsible for the independent operation, terms, security, content, availability, or privacy practices of third-party services.
Pulse Target AI may update these Terms when reasonably necessary to reflect changes in the Services, law, regulation, licensing arrangements, security requirements, or business practices.
Each version will be identified by a version or effective-date reference. Pulse Target AI may retain prior versions and records identifying the version accepted by a user.
When applicable law or the nature of a material change requires renewed affirmative consent, Pulse Target AI may require you to review and accept the updated Terms before continuing to use some or all of the Services.
Except to the extent preempted by federal law or otherwise required by applicable law, these Terms are governed by the laws of the State of Florida, without regard to conflict-of-law principles.
Except where applicable law provides otherwise, any judicial proceeding arising from or relating to these Terms or the Services shall be brought in a state or federal court having jurisdiction in Broward County, Florida, and the parties consent to personal jurisdiction and venue in those courts.
A failure or delay by Pulse Target AI to enforce a provision of these Terms does not waive its right to enforce that provision or any other provision later.
If any provision of these Terms is determined to be unlawful, invalid, or unenforceable, that provision shall be enforced to the maximum extent permitted by law or, where appropriate, severed, and the remaining provisions will remain in effect.
You may not assign or transfer your rights or obligations under these Terms without the prior written consent of Pulse Target AI.
Pulse Target AI may assign these Terms in connection with a merger, reorganization, financing, sale of assets, corporate restructuring, or other lawful transfer of its business or Services, subject to applicable law.
Pulse Target AI will not be responsible for a delay or failure caused by events reasonably beyond its control, including failures of exchanges, market-data providers, internet or cloud infrastructure, communications networks, government actions, natural disasters, cyberattacks, labor disruptions, power failures, or similar events, except to the extent applicable law provides otherwise.
These Terms, together with the Privacy Policy, Trading Risk Disclosure, Subscription & Cancellation Policy, and any other terms expressly presented and accepted in connection with a particular Service, constitute the agreement between you and Pulse Target AI concerning the subject matter covered by them.
If there is a conflict between these Terms and a specific written agreement executed separately by Pulse Target AI and you, the specific written agreement controls to the extent of the conflict.
